Terms and conditions of use of the application
The user of the application seeking to obtain services from contractors; hereinafter referred to as the "Customer" AND: GoRush Technologies Inc., a legal entity duly incorporated under the Business Corporations Act. Hereinafter referred to as the "Supplier" Hereinafter collectively referred to as the "Parties."Following the download of the Provider's application, by means of electronic acceptance, the Service Provider opens an account to request service contract offers for various services promoted by the Provider and offered by service providers. The various service contracts will be accepted through a specific, one-time request form for each of the services that can be ordered through the Supplier's application. In this case, by electronic acceptance, the Service Provider agrees to be bound by the terms, conditions, and provisions of this service contract, acknowledges said terms, conditions, and provisions, and agrees to comply with them. At no time is the Supplier a party to the service contract between the Customer and the service provider (the "Service Provider"). The Parties wish this document to be interpreted as a private contract.
FOR THESE PURPOSES, THE PARTIES AGREE AS FOLLOWS:
.00 INTERPRETATION
1.1 Contract
Refers to this contract, including the preamble and its appendices, any documentation subordinate to it, and any amendments that may be made to it by the Parties.
1.2 Full Performance
Refers to the moment when the services ordered are completely finished by the Service Provider. This complete performance will follow the transmission of photographs demonstrating the performance and, correlatively, the invoice sent at the same time.
1.3 Confidential Information
Means any information transmitted in the context of the business relationship between the parties. All information transmitted is protected under the Act respecting the protection of personal information in the private sector. The Supplier will use the Client's personal information to put them in contact with the Service Providers and otherwise undertakes to respect the confidentiality of the Client's personal information.
2 Jurisdiction
2.1 Subjection
The Contract shall be interpreted and enforced in accordance with the applicable laws of the Province of Quebec and Canada.. 2.2 Non-compliance
If any provision of the Agreement is invalid or unenforceable, it is understood between the PARTIES that all other provisions of the Agreement shall remain in full force and effect and continue to bind the PARTIES, and that the invalid or unenforceable provision shall be interpreted in a manner consistent with the intent of the PARTIES without rendering such provision invalid or unenforceable.
2.3 Financial References
All monetary amounts specified in the Contract refer to Canadian currency. Unless otherwise specified in the text, the amounts indicated in the Contract do not include the Goods and Services Tax (GST) and the Quebec Sales Tax (QST) or any other taxes applicable to such amounts by public authorities during the term of the Contract.
1.00 PURPOSE.1 Service Agreement
The purpose of this Agreement is to put the Customer in contact with Service Providers. The services ordered by the Customer constitute a service agreement between the Customer and the Service Provider. The Customer acknowledges that any service agreement between it and a customer is a bilateral agreement to which the Supplier is not a party
2.00 TERMS OF PAYMENT
The Customer pays the Supplier for the services performed by the Service Provider. The Supplier uses Stripe to secure credit card payments. Stripe is PCI-compliant (more info). No credit card information is stored on our servers. In addition, all information transferred is encrypted with SSL.
3.00 CUSTOMER CERTIFICATIONS
The Service Provider:
Confirms acceptance of all terms, conditions, and terms and conditions;
Confirms that the information provided is accurate and complete;
Confirms that it has the power and authority to be a party to the Contract and to perform all of its obligations hereunder;
Confirms that it grants the appropriate authorization allowing the operating systems or downloaded application to access its cell phone or the data listed herein;
Confirms that using the application constitutes express agreement to all obligations herein and to the use of data in accordance with this Agreement;
Confirms that they understand that the use of the services and the application applies solely between them and the Provider and that Apple has no obligation and is not liable for anything whatsoever. It goes without saying that Apple will not be liable for any claims that you or a third party may have against it in relation to the application from the App Store or your use of the services or the application, including any claims under any law, including consumer protection law;
The Customer acknowledges that their acceptance of a service following acceptance of an offer through the Supplier's application is at the Customer's own risk. The Customer acknowledges that the Supplier cannot be held liable for any damage caused to the Customer or their property that may occur during the provision of services. The Customer acknowledges that any claim for poorly performed services or any damage caused by a Service Provider must be directed exclusively to the Service Provider and that the Supplier shall in no way be liable to the Customer.
3.1 Binding effect
The Contract constitutes a valid and enforceable agreement between the Parties and is subject to compulsory enforcement.
5.00 OBLIGATIONS
The Customer undertakes and agrees to:
Pay the Supplier without delay for the services provided by the Service Provider;
Not to allow third parties to use its account;
Not to use the application for illegal purposes;
Not to use the application to harm third parties;
Not compromise or disrupt the proper functioning of the services or the application;
Ensure the confidentiality of their password and various access details;
Provide proof of identity when requested;
Hold the Supplier and its agents harmless from any damages arising from the provision of services and the performance of the services ordered.
6.00 MISCELLANEOUS6.1 ElectionThe Parties agree that any claim or legal action for any reason whatsoever relating to the Contract shall be brought in the judicial district of Montreal, Province of Quebec, Canada, to the exclusion of any other judicial district that may have jurisdiction over such a dispute under the provisions of the law. Furthermore, each Party shall elect domicile in the judicial district of Montreal.
6.00 TERMINATION OF THE AGREEMENT
Either Party may terminate the Contract without prior notice to the other Party. The termination of the Contract does not terminate the provisions relating to the confidentiality of information.
7.00 ENTRY INTO FORCE
The Contract shall come into force as soon as the Client uses the application.
